Deal Flow Listing Terms

1 Overview

CherryPitch includes an optional Deal Flow through which verified investors on the platform may browse startups that have explicitly opted in to be listed. Listing is entirely voluntary, founder-controlled, and separate from other Services such as deck analysis, investor matching, or outreach tools.

Nothing in these Listing Terms requires you to list your startup. You may use other CherryPitch features without participating in the Deal Flow.

2 Opt-In Consent

Your startup will not appear in the Deal Flow unless you affirmatively enable listing through the consent controls provided in the Services. Enabling listing constitutes your explicit instruction for FoundFit to display your startup profile and your designated Showcase Deck to investors who access the Deal Flow on CherryPitch.

You may disable listing at any time through the same controls. When you disable listing, your startup will be removed from the Deal Flow promptly. Disabling listing does not delete your account or other Customer Data.

3 Eligibility

You may enable listing only when your startup profile meets the eligibility requirements displayed in the Services at the time you opt in. These requirements may include, for example:

• At least one pitch deck uploaded
• Startup name
• Sector
• Raising amount
• Location (country)
• Fundraising status

If your profile later ceases to meet those requirements, your startup may stop appearing in the Deal Flow even if listing remains enabled, until the requirements are satisfied again or you disable listing. FoundFit does not automatically change your listing preference when eligibility changes.

4 What Investors See

When your startup is listed and eligible, investors on CherryPitch may view the startup profile fields and Showcase Deck you make available through the Services.

Matching-preference and identity-related answers you provide for internal matching purposes are not displayed to investors. FoundFit does not display investor contact email addresses to founders through the Services.

FoundFit does not guarantee that any investor will view, save, bookmark, or contact your startup, or that listing will result in meetings, term sheets, or investment.

5 Your Responsibilities

You represent and warrant that you have the authority to list the startup and to share the information and materials displayed while listed, including your Showcase Deck; that such content is accurate and not misleading; and that listing and sharing such content does not violate applicable law or any agreement with a third party.

You remain solely responsible for all communications, negotiations, and transactions with investors, whether or not they arise from your listing. FoundFit is not a party to any discussion, diligence process, or investment between you and an investor.

You are responsible for keeping your listed profile and Showcase Deck current. You should disable listing or update your materials if information becomes outdated, inaccurate, or no longer authorized for sharing.

6 No Broker-Dealer or Investment Advice

FoundFit provides software tools only. We do not act as a broker-dealer, placement agent, underwriter, or investment adviser, and we do not solicit, recommend, or endorse any investment, investor, or listed startup.

Listing in the Deal Flow does not constitute an offer to sell or a solicitation of an offer to buy any security. Any investment decision is solely between you and the applicable investor(s).

7 License for Listed Content

When you enable listing, you grant FoundFit the additional right to display your startup profile and Showcase Deck to authenticated investors within the Deal Flow, solely for the purpose of operating the listing feature described in these Listing Terms and as further described in the Privacy Policy.

This license ends when you disable listing, subject to reasonable technical delay in removing cached or previously distributed materials.

8 Suspension and Removal

We may suspend or remove a listing, or restrict access to the Deal Flow, if we reasonably believe your listing violates these Listing Terms, the Terms of Service, applicable law, or creates risk to FoundFit, investors, or other users. Where practicable, we will notify you of the reason for such action.

9 Changes

We may update these Listing Terms from time to time by posting a revised version on this page and updating the "Last Updated" date. Material changes will be effective as described in the Terms of Service. Your continued use of listing after the effective date constitutes acceptance of the updated Listing Terms.
